Club By Laws


By-Laws of the Tri-County Mustang Club

Approved August 2008



The general purpose of the Tri-County Mustang Club (3CMC), a non-profit Alabama corporation, thereinafter called the Club, shall be the restoration, preservation, promotion, and enjoyment of Mustangs and to serve as a source of information concerning these automobiles for the benefit of its members as well as the general public.


The Club will be headquartered in the city of Millbrook, county of Elmore, state of Alabama.


No officer, director, or member of the club; past, present, or future shall be held personally liable for any claim, damage or debt against the Club.


The officers of the Club shall be elected by vote of the general membership and shall consist of President, Vice President, Secretary,  and Treasurer.  Nominees for officers must be active members in good standing. Officers shall serve for a term of four years and will make up the Executive Committee.  Elections will be held in November of a leap year and newly elected officers will assume their offices in January of the following year.  No officer shall receive any compensation from the club except for approved expenses.


President: The President shall preside over all meetings. He/she shall sign all contracts and other instruments of writing which shall have been first approved by the Board of Directors.  The President shall appoint all committees, issue Executive Orders, and will serve as Chairman of the Board of Directors.  The President shall have the authority to purchase items for the club with proper receipts to the Board of Directors.  The President shall excercise all authority necessary to protect and defend club assets in emergencies.

Vice President: In the absence of the President, or his/her inability to act, the Vice President shall preside in his/her place.

Secretary: The Secretary shall keep a full and complete record of the proceedings of the meetings and shall supervise and control the keeping of the records and accounts of the Club. The Secretary shall compile the minutes of all meetings and have them available for reference during future meetings.  The Secretary shall also be in charge of membership for the club.

Treasurer: The Treasurer shall receive and safely keep all funds of the club and deposit same in such bank as may be convenient. The Treasurer shall keep a correct and up-to-date accounting of all club business transactions and will report current club fund status to the general membership at each meeting. Only the Treasurer and President will be authorized to sign checks on the Club account.


A Board of Directors, consisting of not less than four (4) members in good standing will be appointed by the President. Each will serve for a period of one year. The President of the club will serve as the Chairman of the Board.  The Board of Directors, acting as a collective body, shall approve all Club contracts, expenditures,  and other instruments of writing which commit the Club or its resources. At times when the Board of Directors are not meeting, expenditures will be approved by the Executive Committee.  The Board of Directors will meet a minimum of six times per year at a time and place of their choosing. A quorum of the Board of Directors shall consist of a majority of same.


Ownership of a Mustang is not a prerequisite to club membership. Members will also not be required to become members of the Mustang Club of America. Any person interested in promoting the purpose of the club can become a member. There will be 4 classes of members with paid current dues.  Honorary membership may be issued  to individuals by the President or the Board of Directors, and those membersships will not include voting rights.

Charter Members: Those members who joined the club in the year 2008, and will be accorded all privileges of any Active Member.

Active Members:  Members who join for the first time after 2008.  Are entitled to all club privileges including the right to vote.

International Members: Citizens of foreign nations joining our club for internet following.  No voting privileges and no dues will be charged.

Sponsor Members:  Members who are sponsors of the club. As financial supporters of the club they will be allowed to vote.


General membership meetings will be held the first Thursday of each month at a time and place selected by the Board of Directors. Other meetings may be called as the President, Board of Directors, or general membership may desire


Membership dues shall be as fixed by the Board of Directors. Dues will be $20.00 per household each year and will cover 2 family members.  Dues shall be paid by January 31st of each year for members to remain in good standing.


There are no permanent committees of the club.  All committees shall be appointed by the President of the club as necessary.


These By-laws and any subsequent amendments may be adopted by a majority vote of the Officers.
